Our consultants have assisted clients with a wide variety of joint venture type arrangements used in the industry in the UK and internationally, both in greenfield projects and existing ventures, utilising a range of ownership, operating and financing arrangements. These include both ventures pursued through a joint venture company (incorporated JVs) and ventures undertaken though a contractual structure (unincorporated JVs).
We are very familiar with negotiating and advising on the principal model contracts used in upstream oil & gas projects, including the Joint Operating Agreement forms published by Oil & Gas UK, AIPN and AAPL (Model 610).
We are familiar with a wide range of structures for infrastructure projects, including BOT, BOOT, DBFO, DBFM, PPP, 3P, and PFI, and with conducting commercial due diligence and risk analysis in that regard.
We work to ensure that our client has efficient means to receive its share of JV income on a regular basis and to exit the JV and monetise its investment when desired.
